Terms of Service

Version 1.0 · Last updated 13 October 2026

Please read these Terms carefully. They say NuWealth is provided “as is”, limit our liability (section 13), and require disputes to be resolved by individual arbitration, with no class actions (section 15).

In short

  • You accept these Terms when you first sign in to NuWealth.
  • You must not live in or be located in the US or Ontario, Canada, or be in or from a sanctioned region, and you must also follow Hyperliquid’s terms.
  • NuWealth is the vault leader that makes the trading decisions. We cannot send your $USDC to anyone else.
  • We charge 10% of your gains. Network fees are extra. The minimum deposit is $25.
  • You can lose some or all of what you deposit. The Risk Disclaimer is part of these Terms.
  • NuWealth is provided as is, and our liability is limited.

1. About these Terms

1.1 NuWealth is an early stage decentralized web app built on Hyperliquid. We are still testing the first version, so features may change, pause or stop. “NuWealth”, “we” and “us” mean the people who build and run it. “You” means the person using it.

1.2 These Terms cover the website at nuwealth.ai, the NuWealth web app and the vaults NuWealth leads (together, the “Services”).

1.3 You accept these Terms, the Risk Disclaimer and the Privacy Policy when you first sign in. Before every deposit you also confirm that you understand the risks, against the current version of these documents. If you do not agree, do not use the Services.

2. What NuWealth does

2.1 NuWealth designs automated trading strategies and runs them in vaults on Hyperliquid, a decentralized exchange for crypto perpetual futures. Some vaults are Hyperliquid vaults. Others are Buoy Finance vaults, which run on Hyperliquid.

2.2 NuWealth is the leader of each vault and makes the trading decisions. We decide, by fixed rules, when each strategy opens and closes positions with the pooled deposits in that vault. People and AI tools design and test the rules. No AI makes live trading decisions.

2.3 The web app helps you create a wallet, move $USDC to the right network, deposit into a vault, withdraw, and send $USDC to another address.

2.4 No advice. Nothing in the Services is financial, legal or tax advice, or a recommendation that a strategy suits you. NuWealth is not your broker, agent or adviser. You decide whether to deposit.

3. Who can use NuWealth

3.1 You must be old enough to make a binding contract where you live, and at least 18.

3.2 Restricted persons. You may not use the Services if:

  1. you live in, are located in, or are incorporated or have a registered office in the United States of America or Ontario, Canada;
  2. you live in, are located in, or are incorporated or have a registered office in a country or region subject to comprehensive economic or trade sanctions or export controls (for example Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk and Luhansk regions of Ukraine);
  3. you are a citizen of one of those sanctioned countries or regions, wherever you live;
  4. you, or anyone who owns or controls you, is named on a sanctions list; or
  5. using the Services would be against the law where you are.

3.3 Hyperliquid’s terms. NuWealth runs on Hyperliquid, so you must also comply with Hyperliquid’s Terms of Use, and any terms Buoy Finance publishes for Buoy vaults. If Hyperliquid’s terms do not allow you to use its interface, you may not use NuWealth.

3.4 You must not use a VPN, a false statement or any other way to get around these limits. We may use your IP address to stop deposits from restricted places. We never block withdrawals because of where you are.

3.5 You are responsible for making sure that using the Services is legal where you are.

4. Your wallet and keys

4.1 You sign in with email or Google. When you first sign in, our wallet provider, Privy, creates a wallet for you and secures its key. NuWealth never sees or holds your private key. You can export your private key in Settings. Privy’s own terms also apply to your wallet.

4.2 Agent key. To move $USDC into and out of Hyperliquid vaults without asking you to sign every step, the app may create a limited Hyperliquid key (an “agent key”), approved once by your wallet. It stays unencrypted in your browser and is never sent to our servers. Hyperliquid does not let it withdraw to another address. Clearing your browser’s site data removes it.

4.3 NuWealth’s servers never sign transactions for you. If we ever offer a feature that would let us act from your wallet, we will ask for your separate, explicit permission first.

4.4 You are responsible for keeping your email account, Google account, device, browser and any exported key secure. Anyone with access to them may be able to move your $USDC. We cannot reverse blockchain transactions or recover lost keys. Check every address before you send. A send to a wrong address or network cannot be reversed.

5. Who controls what

NuWealth, as vault leaderTrade the vault’s pooled deposits by fixed rules, which can raise or lower their value. Pause, change or close a strategy.No
HyperliquidRuns the exchange and the vault rules: lock periods, automatic closing of positions, its own feesNuWealth does not control it
Buoy’s admin wallet (Buoy vaults only)A single wallet run by Buoy. It can pause vaults, change vault settings including the fee and the leader, and upgrade Buoy’s shared contracts.In the worst case, yes, through a contract upgrade. NuWealth does not control it.
Agent key in your browserActs on your Hyperliquid account, for example moving $USDC into or out of a vault, without asking your wallet each timeNot directly. Hyperliquid does not let it withdraw or send $USDC, but whoever has it can trade on your Hyperliquid account.

6. Strategies

6.1 Each strategy page describes the strategy in plain words, whether it is open for deposits and which vault it uses. Strategies take different amounts of borrowed exposure.

6.2 Figures from testing are hypothetical (see the Risk Disclaimer). Live figures are read from the vault on Hyperliquid. Neither is a promise.

6.3 We may pause a strategy, stop new deposits, change its rules or close its vault at any time. This includes when it passes its published safety line, if we find a fault, or if law requires it. We will tell you in the app where we can. If a vault closes, its rules return each depositor’s share at its value at that time.

6.4 Updates on your dashboard are written automatically, with help from an AI model, to describe what a strategy did. They do not make or change trades.

7. Fees

7.1 We charge no subscription, no deposit fee and no management fee. NuWealth earns only a share of gains, and the rule differs by vault type:

FeePaid toAmountWhen
Strategy fee, Hyperliquid vaultsNuWealth10% of gainsHyperliquid takes it when you withdraw, from the gains on the amount you withdraw. No high water mark applies.
Strategy fee, Buoy vaultsNuWealth, with a share kept by Buoy (not added on top)10% of gains above the vault’s highest previous share value (a “high water mark”)Buoy collects it as new vault shares when the share value reaches a new high
Hyperliquid activationHyperliquidAbout $1.21 today, set by Hyperliquid, one timeYour first deposit into a new Hyperliquid account
Buoy request feeBuoy0.01 HYPE per request, not refunded if a request is cancelledEach Buoy deposit and withdrawal. The app swaps a little of your $USDC for HYPE to pay it and keeps a small HYPE balance for your next withdrawal.
Network and bridge feesNetworks and bridges such as Relay and AcrossVariesShown before you confirm

Example, Hyperliquid vault. You deposit 100 $USDC. Later your share is worth 120 $USDC and you withdraw it all. Your gain is 20 $USDC, the fee is 2 $USDC, and you receive about 118 $USDC, less network fees.

Example, Buoy vault. If the vault’s share value falls and then climbs back to its previous high, no fee is charged on that recovery. The fee applies only to the rise above the previous high.

7.2 “Gains” means the rise in the value of your vault holding, after trading costs, over the period the rule above covers.

7.3 Network, bridge and request fees are not NuWealth fees, and NuWealth does not keep them.

7.4 If we decide to raise our fee, we will tell you in the app at least 30 days before. On Buoy vaults, Buoy’s admin wallet can also change the fee without us (see section 5).

8. Deposits and withdrawals

8.1 The minimum deposit is $25 of $USDC.

8.2 Hyperliquid locks your whole position in a Hyperliquid vault for 24 hours after each deposit.

8.3 Buoy withdrawals are requests. They usually complete in minutes but can take longer while the vault frees up cash. If a request is not settled in time, Buoy lets you cancel it.

8.4 Withdrawing may require positions to be partly closed, which can reduce what you receive. The amount you receive is set when the withdrawal settles.

8.5 If the app is down or we pause it, you can withdraw directly through Hyperliquid or Buoy with a key you exported earlier from Settings. Withdrawing from a Buoy vault without our app needs technical skill. If you want that backup, export your key now and keep it safe.

9. Your responsibilities

You agree that you will:

  • give true information, including where you live;
  • use only $USDC you lawfully own;
  • not use the Services to launder the proceeds of crime, finance terrorism, evade sanctions, commit fraud or break any other law;
  • not attack, overload, copy or reverse engineer the Services, or try to get around any limit we set;
  • keep your sign in, device and keys secure;
  • pay your own taxes.

10. Third party services

The Services rely on others we do not control, including Hyperliquid, Buoy Finance, Privy, Relay, Across and blockchain networks. Their terms, where they have them, apply to your use of them. We are not responsible for their acts, failures or changes.

11. Intellectual property

We own the Services, the NuWealth name, the strategies and their content. You may use the Services for your own personal use only.

12. Ending your use

You can stop using the Services at any time. Withdraw your $USDC first. You can also withdraw later through Hyperliquid or Buoy directly with your exported key. We may stop you making new deposits, or end your access, if you break these Terms, if you are a restricted person, if law requires it, or if we stop running NuWealth. NuWealth does not block withdrawals. Hyperliquid’s lock period, Buoy’s admin and network problems can still delay them (see the Risk Disclaimer). Sections 7, 10 and 13 to 16 continue after your access ends.

13. “As is” and limits on our liability

13.1 The Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any warranty that they are fit for a purpose, error free, secure or always available. We do not promise any result, gain or level of performance.

13.2 We are not liable for losses caused by market moves, the performance of any strategy, the automatic closing of positions, the acts or failures of Hyperliquid, Buoy, Privy, bridges or blockchain networks, hacks of systems we do not control, or the loss or misuse of your sign in, device or keys, except to the extent the loss is caused by our own fraud, gross negligence or wilful misconduct.

13.3 We are not liable for indirect or consequential losses, or for loss of opportunity.

13.4 Our total liability to you for all claims will never exceed the lower of (a) the fees NuWealth received from your deposits in the 6 months before the claim, and (b) US$100.

13.5 Nothing in these Terms limits liability that the law does not allow us to limit. If you are a consumer, you keep any rights the law gives you that cannot be removed by contract.

14. Indemnity

If you break these Terms or the law, and that causes a claim against us, you agree to cover our reasonable losses and costs from that claim.

15. Disputes

15.1 Talk to us first. Before starting any claim, email us at the address in section 17 with your wallet address and a description of the problem. We will try to resolve it within 30 days.

15.2 Arbitration. If we cannot resolve it, the dispute will be finally resolved by arbitration in Panama at the Conciliation and Arbitration Centre of Panama (CECAP), in English, by a single arbitrator.

15.3 No class actions. Claims may be brought only individually, not as part of a class or group action.

15.4 Governing law. These Terms are governed by the laws of Panama.

15.5 If the law where you live does not allow any part of this section to apply to you, that part does not apply, and the rest still does.

16. General

16.1 Changes. We may update these Terms. We will post the new version here and show it before your next deposit. Fee rises follow section 7.4. NuWealth does not block withdrawals while you decide.

16.2 These Terms, the Risk Disclaimer and the Privacy Policy are the whole agreement between us. If one part is invalid, the rest still applies. If we do not enforce a right, we can still enforce it later. You may not transfer these Terms. We may transfer them to whoever takes over the Services, and we will tell you if we do.

16.3 If these Terms are translated, the English version applies.
